These are the terms and conditions that govern the relationship between Metro Motor Auto Supply and any applicant seeking credit for goods and services.

“Applicant”, means each person and/or business entity which applies for and may be granted an account and “Metro Motor” refers to Metro Motor Auto Supply and/or its subsidiaries. Applicant authorizes Metro Motor to contact and obtain Applicant’s credit information from any source including credit bureaus. Applicant understands and agrees that Metro Motor will determine the appropriate credit limit to grant but has no such obligation. However, if a credit limit is granted by Metro Motor, Applicant agrees it may be raised, lowered or cancelled at any time. Applicant authorizes Metro Motor to release and report trade data (including account and credit reference information) to third parties. By signing below Applicant represents and confirms: (i) that all of the information contained in this agreement is correct and complete, (ii) that the undersigned is authorized to enter into this agreement on the Applicant’s behalf, and (iii) that Applicant is an entity in good standing or a government agency and purchases made hereunder are not for personal or household uses.
If Applicant is approved, it is agreed and understood by the undersigned and Metro Motor that all purchases made on open account will be PAID IN FULL on or before the 25th day of the month following the date of the purchase (for monthly accounts) and on or before the 5th day of the week following the date of purchase (for weekly accounts). No unpaid account will be increased after the 25th day, unless by special agreement. Further, any account which has an unpaid balance at the end of the month in which payment was due will be assesses a finance charge on the unpaid portion at the highest rate allowable by applicable law until such time as the account has been brought current. In the event Metro Motor employs an attorney or collection agency to collect any amount due from applicant, then applicant shall be responsible for all costs of collections including (without limitation) attorney's fees, court costs, and any contingency fees paid to a collection agent.
If permitted under applicable law, a return check fee in the highest amount allowable by applicable law per returned check may apply. Use of any online self-service solutions provided by Metro Motor may be subject to additional service fees. By signing below, Applicant ratifies any existing financing statement filed previously by Metro Motor and authorizes Metro Motor to file financing statements, amendments and other documents and instruments from time to time as Metro Motor deems appropriate to protect its security interests until full payment has been made. A failure or delay by Metro Motor in exercising any rights or remedies hereunder is agreed not to operate as a waiver or to prevent future exercise of such rights.
Any claim or dispute between Applicant and Metro Motor arising from or relating to this agreement or our relationship (“Claim”) must be resolved by binding arbitration in accordance with the Commercial Dispute Resolution Procedures of the American Arbitration Association (“AAA”). This Agreement shall be governed by the laws of the Commonwealth of Virginia. You and we will each pay our respective attorney’s, experts’ and other fees, except as otherwise provided by law. No class actions: Applicant and Metro Motor also agree that the arbitration only may resolve claims, disputes or controversies between us. To the fullest extent permitted by applicable law, no arbitration with respect to this Agreement shall be joined to an arbitration involving any other party, whether through class arbitration proceedings or otherwise. Applicant agrees not to participate in a representative capacity or as a member of any class of claimants, pertaining to any Claim. The arbitrator’s findings, reasoning, decision and award must be in writing and must be based upon and consistent with the law of the jurisdiction that applies to the Agreement. It is agreed that any award will be kept strictly confidential. If any part of this Agreement cannot be enforced, the rest of the Agreement will continue to apply.
Personal Guarantee
Sole proprietors are personally liable for payments if a business defaults. If Applicant is a sole proprietor (Guarantor), then Guarantor hereby guarantees and agrees to pay any and all indebtedness of any nature whatsoever incurred by the company to Metro Motor Auto Supply. It is understood that this guarantee shall be continuing, unconditional, and irrevocable guarantee to repay and indemnify such indebtedness of the company. Guarantor hereby agrees that all rights, remedies and recourses afforded to Metro Motor Auto Supply by reason of this guarantee or otherwise are separate and cumulative and may be pursued separately, successively or concurrently as occasion therefore shall arise and are nonexclusive and shall in no way limit or prejudice any other legal or equitable right, remedy, or recourse. Guarantor hereby waives notice of default, nonpayment and notice thereof and consents to any modification or renewal of the credit agreement hereby guaranteed. Guarantor further agrees to pay all costs, interest and reasonable attorney’s fees incurred by Metro Motor Auto Supply in collecting any amounts hereby guarantee, whether from Metro Motor Auto Supply or Guarantor.
In the event that any provision in the guarantee shall be construed by a court of competent jurisdiction to be unlawful or enforceable and if the offending provision can be reformed to effect the clear intention of the parties herein, then, the offending provision shall be so reformed and the remainder of the guarantee shall remain in full force as written. If the provision cannot be reformed to affect the clear intention of the parties hereto, then, this guarantee shall be deemed to be reformed to exist as now written but without the offending provision.
Guarantor hereby agrees to pay promptly on demand, without offset, credit or deduction of any kind, any sum which may become due to Metro Motor Auto Supply, a bankruptcy trustee, a creditor, or any other person as a return of a preferential payment pursuant to bankruptcy or insolvency laws.
Entire Agreement Clause
This is the entire Agreement between Applicant and Metro Motor and supersedes any prior understandings, oral or written. This Agreement may not be changed except by written agreement signed by each of Applicant and Metro Motor. By signing below, Applicant confirms the data provided at the top of this Agreement is true and correct. Applicant further acknowledges, consents, and agrees to these terms and this Agreement and promises to pay any amounts outstanding.
